Terms of Service

These Terms of Service ("Terms") are a contract between you ("Customer," "you") and WXCODE TECNOLOGIA TRATAMENTO DE DADOS PROVEDORES DE SERVICOS DE APLICACAO E SERVICOS DE HOSPEDAGEM NA INTERNET LTDA, trading as WXCODE TECNOLOGIA ("WXCode," "we," "us"), identified above.

They govern your use of the website at wxcode.ai and the subscription software service offered through it ("Service"), including the account area at adm.wxcode.ai.

By visiting wxcode.ai, submitting a form on the site, or creating an account at adm.wxcode.ai, you agree to these Terms. If you use the Service on behalf of an organization, you confirm you have authority to bind that organization, and "you" refers to that organization.

WXCode reads a customer's codebase, builds a knowledge base of its rules and dependencies, and converts it to a modern stack, carrying the work through the steps that follow. Access to the Service is granted through a subscription account created at adm.wxcode.ai.

You must be at least 18 years old and use the Service for business or professional purposes, not as a consumer. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information when creating an account.

The Service is offered on a subscription basis, in the tiers and prices published on wxcode.ai, plus a custom Enterprise offer scoped through the site's contact form. Prices exclude applicable taxes. Fees are billed in advance on a recurring basis and processed by our payment processor. By subscribing, you authorize recurring charges to your chosen payment method until you cancel. If you change plans, the new terms and price take effect as shown at checkout.

You may cancel your subscription at any time. When you cancel, your access to the Service continues until the end of the billing period you have already paid for; it does not end immediately. Fees already paid are not refundable, in full or in part (no pro-rata refunds), regardless of when in the billing period you cancel or stop using the Service.

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service, other accounts, or the systems supporting it; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer the Service except as permitted by applicable law; or (e) use the Service to process content you do not have the right to submit.

"Customer Content" means the source code, data, and other materials you submit to the Service for processing. As between you and WXCode, you retain all ownership rights in your Customer Content. You grant WXCode the rights necessary to host, process, and convert your Customer Content solely to provide the Service to you.

Neither WXCode nor the third-party AI model providers we use to deliver the Service use your Customer Content to train AI models. Customer Content is stored only while your account is active and is deleted within 30 days after your account is cancelled or terminated, except that billing records (not Customer Content) may be kept longer where required by law.

Delivering the Service relies on third-party providers, including cloud hosting, AI model providers, and our payment processor. Your use of the Service is also subject to the practices described in our Privacy Policy.

WXCode and its licensors retain all rights, title, and interest in and to the Service itself (excluding Customer Content), including all underlying software, design, and trademarks. Nothing in these Terms transfers any such rights to you, except the limited right to access and use the Service under an active subscription.

The Service is provided "as is" and "as available," without any service-level commitment. To the fullest extent permitted by applicable law, WXCode disclaims all warranties, express or implied, including fitness for a particular purpose, regarding the Service.

To the fullest extent permitted by applicable law, WXCode's total liability arising from these Terms or the Service is limited to the fees you paid in the 12 months before the event giving rise to the claim, and WXCode will not be liable for indirect, incidental, special, consequential, or punitive damages, except where applicable law does not allow such a limitation.

We may suspend or terminate your access to the Service if you breach these Terms. We may also terminate for convenience by giving you 30 days' notice by email.

We may update these Terms from time to time. We will post the updated version on this page with a new "Last updated" date. For material changes, we will also notify active customers by email. Continued use of the Service after an update constitutes acceptance of the revised Terms.

These Terms are governed by the laws of Brazil. Any dispute arising from these Terms or the Service will be submitted to the courts of the city of São Paulo, State of São Paulo, Brazil, without prejudice to any mandatory consumer-protection right you may have to bring a claim in the courts of your own domicile.
